How to register a Private Limited Company in India?

Private Limited Company registration is the most popular legal structure option for businesses in India. Private limited company registration is governed by the Ministry of Corporate Affairs, Companies Act, 2013 and the Companies Incorporation Rules, 2014. To register a private limited company, a minimum of two shareholders and two directors are required. One of the Director of a private limited company has to be an Indian Citizen and Indian Resident. The other director(s) can be a Foreign National. The directors of a private limited company have limited liability to creditors. In the case of default, the bank/creditor can only sell the assets of the company, but not the personal property of the directors.

Stage I

  • Apply for DIN for each director.
  • Scanned passport size photographs of directors.
  • Scanned copy of director’s PAN card.
  • Scanned copy of the latest bank statement/telephone/electricity or gas bill.
  • Scanned copy of Aadhar Card / Voter I-Directors.
  • Director’s email IDs and phone numbers.
  • Specification of a digital signature of directors.
  • One of the directors must self-certify these documents




  • Proof of address of the registered office

    Stage II

  • Scanned copy of lease deed/rent agreement
  • Scanned copy of electricity bill
  • A scanned copy of the No Objection Certificate (NOC) from the property owner
  • Scanned copy of the landlord’s PAN card and Aadhaar card
  • Scanned copy of property papers(if owner yourself)
  • Scanned copy of any utility bill
  • Scanned copy of No Objection Certificate (NOC)
  • Specific documents should not be more than 2 months old
  • Scanned copy of sale deed/property deed


  • Also, the landlord of the registered office premises must provide a “No Objection Certificate” and keep his or her identity proof and address proof to have a registered office in his / her office premises.

    Stage III


    After getting your name approved from MCA, apply for a certificate of incorporation. The following three forms are required:

  • INC-7
  • INC-22
  • DIR-12

  • Stage IV


    Apply for a certificate to start a business. It is mandatory for Public Limited Company and Private Limited Company as per Section 11 of the Companies Act, 2013.
    It is required to file INC-21 within 180 days of obtaining the certificate of incorporation.

    Digital Signature Certificate (DSC)

    Director Identification Number (DIN)

    DIN is a unique director identification number assigned to every person who intends to become a director in a company. The application for the allocation of DIN is made in the SPICE form at the time of incorporation.

    Name Approval

    For the name approval step, an application is filed with the Ministry of Corporate Affairs in the prescribed form RUN (Reserve Unique Name)

    Submission of Final Incorporation Form (SPICE) with MOA and AOA

    After name approval, a KYC is required, and other prescribed documents of directors and shareholders. MCA will get the certificate of registration with PAN and TAN after submission of the SPICE form.
